Terms of Service

These Terms of Service ("Terms") govern your use of YourInvoice (the "Service"), operated by [Operator legal name], a company registered in England & Wales under company number [Company number], with registered address [Registered address] ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

YourInvoice is online software that lets you create, manage, send and track invoices and related records. The Service is a tool only. It does not provide accounting, tax, legal or financial advice, and you are solely responsible for the accuracy, legality and tax treatment of the invoices and information you produce with it. You should verify all figures (including VAT) independently.

2. Eligibility & accounts

  • You must be at least 18 and able to form a binding contract.
  • The Service is intended for business use. You must provide accurate registration details and keep them up to date.
  • New accounts may require verification and manual approval before access is granted. We may refuse, suspend or close accounts at our discretion.
  • You are responsible for keeping your login credentials secure and for all activity under your account.

3. Plans, fees & payment

  • Free plan: includes up to 10 invoices per calendar month at no charge.
  • Pro plan: £5 per month (plus VAT if applicable), giving unlimited invoices and other features described at sign-up.
  • Paid subscriptions are billed in advance and renew automatically each month until cancelled. Payments are processed by Stripe; by subscribing you also agree to Stripe's terms.
  • We may change plan features or pricing on reasonable prior notice. Continued use after a change takes effect constitutes acceptance.

4. Cancellation & refunds

  • You may cancel your Pro subscription at any time from your account. Cancellation takes effect at the end of the current billing period, and you retain Pro access until then.
  • Except where required by law, payments are non-refundable and we do not provide partial refunds for unused time.
  • Nothing in these Terms affects any non-excludable statutory rights you may have as a consumer.

5. Acceptable use

You agree not to: use the Service unlawfully or fraudulently; upload content that is illegal, infringing or harmful; attempt to gain unauthorised access, disrupt, or probe the Service or its security; reverse engineer or copy the Service; or resell or provide the Service to third parties without our written consent.

6. Your data & content

You retain ownership of the data and content you enter (such as your customer records and invoices). You grant us a limited licence to host, process and transmit that data solely to provide and support the Service. You are responsible for having the right to use any personal data you enter and for complying with applicable data-protection laws in respect of your own customers. Our handling of personal data is described in our Privacy Policy.

7. Availability

We aim to keep the Service available but do not guarantee it will be uninterrupted, error-free or secure. We may modify, suspend or discontinue all or part of the Service, and perform maintenance, at any time. We recommend you keep your own backups (an export feature is provided).

8. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement.

9. Limitation of liability

To the fullest extent permitted by law: we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or business; and our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the greater of the fees you paid us in that period or £100. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded (including for death or personal injury caused by negligence, or for fraud).

10. Indemnity

You agree to indemnify us against claims, losses and costs arising from your use of the Service, your content, or your breach of these Terms or of applicable law.

11. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or where necessary to protect the Service or other users. On termination your right to use the Service ends; you may request an export of your data within a reasonable period, after which we may delete it.

12. Changes to these Terms

We may update these Terms from time to time. The "last updated" date shows the latest version, and material changes will be notified where reasonable. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.
